Terms of Service

1. Eligibility & accounts

The Service is invite-only and intended for authorized members of customer organizations. You must be at least 18 years old and legally able to enter a binding contract. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at privacy@einsteindocs.com of any suspected unauthorized use.

2. Acceptable use

You agree not to:

• upload false, misleading, or fraudulent records, including forged signatures or fabricated survey readings;
• upload material you do not have the right to upload, or that infringes third-party rights;
• attempt to access data belonging to organizations other than your own, or to circumvent role-based access controls;
• introduce malware, attempt to probe or scan the Service for vulnerabilities without written permission, or interfere with its operation;
• use the Service to violate any applicable law, regulation, or third-party right; or
• resell, rent, or sublicense the Service without our prior written consent.

You acknowledge that records produced through the Service may be relied upon by regulators and auditors. Submitting knowingly false records may have legal consequences independent of these Terms.

3. Customer data

As between you and us, you and your organization retain ownership of all content you submit through the Service ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide the Service, including generating audit exports, weekly digests, and similar features. We process personal information as described in our Privacy Policy.

4. Service availability

We work to keep the Service available and accurate but provide it on an "as is" and "as available" basis. We may modify, suspend, or discontinue features at any time, with or without notice. Offline-first features queue your submissions locally when connectivity is unavailable; you are responsible for ensuring submissions ultimately sync.

5. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by EinsteinDocs and its licensors and is protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your organization's internal compliance purposes.

6. Confidentiality

You agree to treat non-public information you encounter through the Service (including device records, source information, and other organizational data) as confidential and to use it only for the purposes for which the Service is provided.

7. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM LOSS OF DATA. THE SERVICE IS NOT A SUBSTITUTE FOR YOUR OWN COMPLIANCE OBLIGATIONS UNDER APPLICABLE RADIATION-SAFETY, TRANSPORTATION, OR OTHER REGULATIONS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL EINSTEINDOCS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOUR ORGANIZATION TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

9. Termination

We may suspend or terminate your access to the Service at any time for any breach of these Terms or for conduct that we reasonably determine creates risk for the Service or other users. Upon termination, your right to use the Service ends, but provisions that by their nature should survive (including Sections 3, 5, 6, 7, 8, and 10) will continue to apply.

10. Governing law

These Terms are governed by the laws of the State of Maine, without regard to conflict-of-laws rules. The state and federal courts located in Cumberland County, Maine, will have exclusive jurisdiction over any disputes that are not required by law to be resolved through another mechanism.

11. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will increase the version number and require you to re-accept before continuing to use the Service. The "Effective" date at the top of this page reflects the latest version.
